1. Acceptance by use

These Terms of Use ("Terms") are an agreement between you and Coombs Ventures LLC, which operates Agents in Recovery ("we," "us," "our"). They cover this website, its directory, guides, checklists, downloads, newsletter, and sponsor placements (together, "the site"). By using the site, you accept these Terms and our Disclaimer and Privacy Notice, which are part of these Terms. If you don't agree, don't use the site. If you use the site for an organization, you confirm that you can accept these Terms for it.

2. No professional advice

The site is for general information and education only. It is not legal, medical, clinical, compliance, regulatory, HIPAA, 42 CFR Part 2, EKRA, billing, or financial advice, and using it does not create an attorney-client or other professional relationship. Consult your own qualified legal counsel and compliance professionals before acting on anything you read here.

3. Disclaimer of warranties

The site and everything on it are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, title, and non-infringement. We don't promise that the site will be available, error-free, or secure, or that any vendor, product, or use case described on it is suitable, compliant, or safe for your organization.

4. Limitation of liability

To the fullest extent permitted by law, we and our owners, operators, authors, and contributors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, business, licensure, accreditation, or reimbursement, or for fines, penalties, or legal costs, arising from or related to the site or these Terms, under any theory of liability.

To the fullest extent permitted by law, the total liability of Coombs Ventures LLC and Agents in Recovery for all claims arising from or related to the site or these Terms is limited to the greater of (a) $100 USD or (b) the total amount you paid us in the 12 months before the event giving rise to the claim. Some places don't allow certain limits on liability, so some of these limits may not apply to you.

5. Indemnification

You agree to defend, indemnify, and hold harmless Coombs Ventures LLC, Agents in Recovery, and their owners, operators, authors, and contributors from any claims, losses, damages, fines, penalties, costs, and expenses (including reasonable attorney fees) arising from: your use of the site; your reliance on its content; your decisions, implementations, vendor contracts, and Business Associate Agreements; any content you submit; any sponsor placement you buy, including its content and claims; or your violation of these Terms or of any law.

6. Sponsor and advertising terms

These terms apply when you buy a sponsor placement, including through a payment link on the sponsors page.

  • Seller. Sponsor placements are sold by Coombs Ventures LLC, which operates Agents in Recovery. Charges are processed by Stripe.
  • Flat fee only. Every placement is a fixed fee for a fixed term. Prices are listed on the sponsors page and charged through Stripe. Monthly placements renew each month until canceled.
  • No referral payments. No part of any payment is for, or varies with, leads, clicks to a treatment provider, referrals, admissions, patients, residents, or placements of any person. We will not enter any arrangement like that, and you agree not to propose one.
  • Advertising, not endorsement. A placement is labeled "Sponsored." It is advertising, not an endorsement. Sponsors get no say over directory listings, guides, risk notes, or other editorial content.
  • Your claims and your compliance. You are solely responsible for your sponsor content and for every claim it makes about your products or services, and you confirm that it is accurate, not misleading, and lawful. You are responsible for your own compliance with the laws and rules that apply to your business and your advertising.
  • Who can sponsor. Placements are for vendors of tools and services used by behavioral health organizations. We don't sell placements to treatment programs, recovery residences, or laboratories as a way to attract patients or residents.
  • Our right to refuse or remove. We can review, edit for format, refuse, pause, or remove any sponsor content or placement at any time, including if it conflicts with these Terms or our sponsor policy.

7. User submissions

If you send us a use case, tool suggestion, correction, or other content ("submission"), you give us a non-exclusive, worldwide, royalty-free, perpetual license to use, edit, publish, and adapt it on the site and in related materials. We don't have to publish any submission.

You confirm that each submission is accurate to the best of your knowledge, is yours to share, doesn't infringe anyone's rights, and contains no protected health information or other patient, client, or resident information. Don't submit confidential information.

8. Acceptable use

Don't misuse the site. That includes trying to break or overload it, scraping it in a way that harms it, or using it for anything unlawful.

9. Governing law and venue

These Terms are governed by the laws of the State of Idaho, without regard to its conflict of law rules. Any dispute arising from or related to the site or these Terms will be brought only in the state or federal courts located in Ada County, Idaho, and you consent to the jurisdiction of those courts.

10. Severability

If any part of these Terms is found unenforceable, that part will be enforced to the greatest extent allowed, and the rest of the Terms will stay in effect.

11. Changes to these Terms

We may change these Terms. When we do, we'll update the date at the top of this page. Your use of the site after a change means you accept the updated Terms.
